Terms and Conditions between Affiliate and Net Gaming Solutions

Hereunder are the terms and conditions that an affiliate must comply with in order to take part in the Net Gaming Solutions affiliate program. These conditions should be read before starting any promotional campaign on behalf of the platforms promoted by NGS. If an affiliate actively participates in the NGS affiliate program, these conditions are understood to be read and agreed to by the said affiliate.

1. Definitions
1.1 Net Gaming Solutions, hereafter to be known as NGS: The company which operates the affiliate programs for various gaming platforms. The NGS website can be found at www.netgamingsolutions.com.
1.2  Affiliate: An individual or company that has agreed to these general terms and conditions and has registered with NGS to promote any of the products offered under the umbrella of the NGS affiliate program.
1.3 Affiliate link: The URL (with a unique tracking code) used by the affiliate to direct the traffic he/she generates via text links, banners or other promotional materials to any of the NGS products.
1.4 Players: NGS’s target group – people who take part in playing games on the platforms promoted by NGS.
2. Registration and Acceptance
2.1 The Affiliate agrees to register via the registration form on the NGS website.
2.2 Affiliates must supply correct and complete information when filling in all of the data on the registration form.
2.3 The Affiliate will be registered promptly and will receive a confirmation email with the log in details.
2.4 NGS reserves the right at all times to refuse and/or cancel the Agreement with an Affiliate if one or more of these general terms and conditions is not met or is violated.
3. Rights and Duties of NGS
3.1 Players who are directed via a link containing a unique tracking code to any of the NGS products will be monitored closely by us for fraud, illegal play or other abuse of these products. We reserve the right at all times to close a player’s account if they are suspected of fraud, illegal play or abuse of the products. Any accumulated income in the player’s account will also be blocked.
3.2 The turnover and information belonging to players who register via a link with a unique tracking code always remains the property of the NGS platforms.
3.3 The platforms promoted by NGS do their utmost to ensure correct working order and availability. However, 100% availability and proper functioning can never be guaranteed.
4. Rights and Obligations of the Affiliate
4.1 When an Affiliate provides information about our platforms, it is his/her responsibility to provide the correct information. An Affiliate pledges to do his/her best to promote the platforms promoted by NGS as well and as correctly as possible and to ensure that the information is up-to-date at all times. It is illegal to put links, banners, text and other promotional materials for platforms promoted by NGS on websites that consist of, offer or portray pornography, sex, and illegal or other unwholesome material. By this, we mean websites that, among other things, promote child pornography, encourage violence or criminal/illegal acts, or discriminate on the basis of race, sexual preference, religion, nationality or other similar criteria.
4.2 An Affiliate of NGS will always ensure confidentiality and refrain from any statements or conduct that could have a negative impact on the goodwill and reputation of NGS and the platforms promoted by NGS.
4.3 The costs that the Affiliate incurs for the promotion of his/her chosen platforms are the sole financial responsibility of the Affiliate. NGS provides the Affiliate with ways to facilitate the promotion of platforms promoted by NGS, including but not limited to, the delivery of banners, text links and other promotional material.
4.4 The Affiliate is solely responsible for the implementation of his/her unique tracking code in promotional campaigns, for example links on his/her website. When/if there are issues/problems with the Affiliate’s income due to incorrect use of the unique tracking codes, NGS cannot be held responsible. If there is any doubt that the link is working correctly, the affiliate can always send an email request for verification to webmaster@netgamingsolutions.com.
4.5 The affiliate can access an overview of the revenue he/she has generated by logging in to his/her account page. Even though these statistics are compiled with the greatest possible care in real-time, NGS cannot guarantee the availability of these statistics, including but not limited to times when statistics are affected by circumstances outside of NGS’s control. Further, no rights can be applied to these statistics.
4.6  Depending on the platform, the affiliate will have access to an invoice containing the income generated by his/her site(s) 20 days (Casino and Poker) or 50 days (Slots) after the end of the monthly period. The Affiliate is responsible for the ability to open the invoices in PDF format.
4.7 All invoices are available for the Affiliate to download from the Affiliate’s account page for four (4) months; after that time said invoices will no longer be available, nor will they be available in any other form, nor will the time period be extended.
5. Fraud and Abuse
5.1 The promotion of our products is for commercial purposes only. It is not permitted for the Affiliate, his/her family members, friends, or other acquaintances to open a player account at one or more of the platforms promoted by NGS using the Affiliate’s own unique tracking code.
5.2 If the Affiliate wants to create a test account to make a test deposit, he/she is required to send an email to NGS first at webmaster@netgamingsolutions.com.
5.3 Any subsequent test deposit must be made using the same amount as the minimum deposit required by the platform in question.
5.4 Should there be abuse of player account(s) using the unique tracking code, NGS reserves the right at all times to close the Affiliate’s account and to not pay the Affiliate any earnings from that account.
5.5 The Affiliate shall be vigilant and make an effort not to send fraudulent players to the platforms promoted by NGS. NGS is at all times entitled to not pay the Affiliate any accumulated income that was earned due to fraudulent players. Should a high percentage of fraudulent players be linked to an Affiliate account, NGS can close the Affiliate’s account without any payout of accumulated revenue and benefits.
6. Spam
6.1NGS is against the use of spam. The Affiliate may not send any unsolicited emails, regardless of whether or not the emails are a promotion of NGS related platforms and products. Should an Affiliate still engage in spam-related activities, then NGS reserves the right to close the Affiliate’s account and to not pay out any accumulated income.
7. Payments
7.1 Within two weeks after an invoice is delivered to all Affiliates, earnings will be transferred to the bank account specified by the Affiliate. The Affiliate is solely responsible for providing all the necessary and correct details for his/her bank account.
7.2 In cases where the earnings cannot be transferred or are returned to the sender due to incorrect bank details, the earnings will be saved until the next billing cycle, at which time a new payment attempt will be made.
7.3 If the Affiliate’s income is transferred to an incorrect bank account due to the Affiliate providing incorrect bank details, the Affiliate is solely responsible for recovering these funds.
7.4 The minimum payment to an Affiliate’s account is 25 Euros. If the Affiliate’s total earnings for a month are less than 25 Euros, then this amount will be saved until the next billing cycle, at which time the account will be reviewed to see if the 25 Euro threshold has been exceeded.
7.5 The earnings per platform are as follows:
7.5.1 Slots platforms: A percentage of the turnover (sales volume) made by the players of the Affiliate (payments by the players)
7.5.2 Casino platforms: A percentage of the profit made on the activity of the Affiliate’s players (player deposits minus (-) player payouts)
7.5.3 Poker platforms: A percentage of the rake generated by the Affiliate’s players
7.6b The percentage can increase according to a fixed table that is dependent on the total turnover per platform for a specific month.
7.7 With the casino and poker platforms, once a player registers through an Affiliate, the player will always remain in the Affiliate’s account, and thus the Affiliate continues to earn money. Should the Affiliate’s account be closed (due to a violation of the general terms and conditions) and thus the Agreement with NGS is terminated, the Affiliate shall no longer be entitled to current or future income from those players.
7.8 Earnings via the gambling/slots platforms will only be accumulated if the player plays directly through the unique tracking code. If the player stops playing through the Affiliate and at a later time plays using the tracking code of a different Affiliate, the first Affiliate will not receive any income from this player’s subsequent activity.
7.9 A negative balance on one or more casino platforms will not be carried over to the next month and will also not be deducted from any other income. The Affiliate thus begins each month with a balance of 0 (zero) Euros.
8. Term and Termination
8.1 This agreement is for an indefinite period of time and can be terminated by either or both parties in writing, without prior notice.
8.2 NGS can terminate the agreement due to, but not limited to, any of the following scenarios:
8.2.1 The activities of the Affiliate negatively affect NGS and/or endanger the reputation and goodwill of NGS.
8.2.2 The Affiliate makes use of spam activities.
8.2.3 The Affiliate abuses their Affiliate link in any way. For example, by sending fraudulent players to the NGS promoted sites or by using his/her unique tracking code him/herself or by using another related persons to create accounts.
8.3 If this Agreement is cancelled by either one of the parties, the Affiliate will immediately remove all text links, banners, promotional materials and any other published items related to the platforms promoted by NGS.
8.4 All rights and goods that NGS provides to the Affiliate during the course of the agreement will be revoked immediately.
8.5 If the Affiliate terminates the Agreement, the Affiliate is entitled to compensation until the last full month before he/she submits written notice of cancellation.
9. Collaboration
9.1 The Affiliate and NGS are both independent entities and nothing in this Agreement refers to exclusivity, agent representation, franchise or service extension between the two parties.
9.2 The Affiliate has no right to use the name of NGS or act on behalf of NGS in relation to or in business dealings with other parties. The Affiliate will take every possible measure to ensure that he/she never indicates such a connection with NGS, in any way.
9.3 The affiliate hereby agrees that NGS can, at any time, make different offers and/or propose specific or special conditions to competing Affiliates, to which the basic terms and conditions will also apply.
9.4 NGS may, at any time, amend sections of these Terms and Conditions, at its discretion, and will inform the Affiliate by sending the Affiliate an email and also publish the changes on the NGS website. If the Affiliate doesn’t end the Agreement within two weeks after any such changes are made, NGS shall take it as confirmation that the Affiliate agrees with the new Terms and Conditions.
